These Terms of Service (“Terms”) are an agreement between you and Adverships (“Adverships,” “we,” “us,” or “our”), the operator of the affiliate marketing platform at adverships.com and the Adverships app available through the Shopify App Store. By creating an account, installing the Adverships app, or otherwise using our services, you agree to these Terms.
Please read these Terms carefully. They include important provisions about how the service works, what you can and can’t do with it, how payments and payouts are handled, and how we limit our liability. If you do not agree to these Terms, do not use the service.
1. Definitions
A “Business” is a merchant who uses Adverships to recruit creators to promote their products. A “Creator” is a person who uses Adverships to promote a Business’s products and earn payouts on the traffic and sales they generate. “Shopper” means an end customer of a Business who visits the Business’s storefront with Adverships tracking enabled. “Service” means the Adverships website, dashboard, Shopify app, theme app extension, and related APIs and tools.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding agreement under the laws of your jurisdiction.
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your account credentials and for any activity that happens under your account.
- One person or entity may not maintain more than one Business account or more than one Creator account without our prior written consent.
- We may suspend or terminate accounts that breach these Terms, our acceptable-use rules, or applicable law.
3. Description of the service
Adverships connects Businesses with Creators and provides:
- Tracking links and pixels that attribute clicks and sales to the right Creator.
- Dashboards for Businesses and Creators to see their performance.
- A wallet system for Businesses to pre-fund payouts and for us to release payouts to Creators on the Business’s behalf.
- Subscription billing for Businesses, through Stripe (for direct sign-ups) or through Shopify Billing (for Shopify-installed accounts).
Adverships is a software service. We are not a party to the underlying commercial relationship between a Business and a Creator beyond facilitating attribution tracking and payouts.
4. Fees, billing, and payouts
4.1 Subscription fees (Businesses)
- Adverships charges a monthly subscription fee. Current pricing is shown on our pricing page and inside the Adverships app at sign-up.
- For Businesses who sign up directly on adverships.com, charges are processed by Stripe and appear as a recurring charge on the payment method you provide.
- For Businesses who install Adverships through the Shopify App Store, charges are processed entirely through the Shopify Billing API and appear on your regular Shopify invoice.
- Subscription fees are billed monthly in advance and are non-refundable except as required by applicable law or as specifically described elsewhere in these Terms.
- You may cancel your subscription at any time from your Adverships dashboard or, if you installed through Shopify, from the Adverships app inside your Shopify admin. Cancellation stops further charges; it does not refund the current period.
4.2 Wallet top-ups and payouts
- Businesses can pre-fund a wallet inside Adverships. Top-ups carry a non-refundable processing fee, displayed at the time of top-up.
- Wallet balances are held as an obligation to release future Creator payouts. They are not refundable except as required by applicable law.
- Payouts to Creators are released when the Creator’s combined earned balance across active partnerships meets the minimum payout threshold, currently $30 USD.
- Direct-funded partnerships (where the Business pays the Creator outside the wallet system) are the sole responsibility of the Business and the Creator. Adverships only tracks the earned amount; we do not move funds for direct-funded partnerships.
- Sales that are refunded or canceled may reduce the earned amount attributable to a Creator. If a payout has already been released against a sale that is later refunded, the Business is responsible for recovering the excess from the Creator or absorbing it.
5. Acceptable use
You agree not to:
- Use the Service to send unsolicited messages, spam, or misleading promotional content.
- Inflate clicks or sales artificially, including by using bots, automated scripts, click farms, or paid traffic that violates the Business’s partnership terms.
- Self-attribute purchases (Creators may not place orders through their own tracking links and collect a commission on them).
- Promote a Business’s products in any way that violates the Business’s posted partnership terms or applicable advertising laws (including FTC disclosure requirements in the United States).
- Reverse-engineer, scrape, or attempt to bypass any security or attribution mechanism of the Service.
- Use the Service to host, transmit, or promote content that is unlawful, harassing, defamatory, infringing, or sexually explicit.
- Resell, sublicense, or expose the Service to third parties outside the scope expressly contemplated by these Terms.
We reserve the right to void clicks, void sales, withhold payouts, suspend accounts, or terminate accounts in response to violations of this section.
6. Your content and licenses
You retain ownership of any content you post to Adverships (including partnership terms, campaign descriptions, creator profiles, and promotional content). By posting it, you grant Adverships a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and reproduce that content as necessary to operate the Service.
You represent and warrant that you have the rights necessary to post the content you post, that it does not infringe any third party’s rights, and that it complies with these Terms and applicable law.
7. Third-party services and Shopify
The Service integrates with third-party services including Stripe, Shopify, and our hosting provider. Use of those services is also subject to their terms. We are not responsible for the acts or omissions of third-party services.
If you install the Adverships app from the Shopify App Store, your use of the app is additionally subject to Shopify’s Terms of Service and API Terms of Use. Subscription billing through the Shopify App Store is handled by Shopify Billing on Shopify’s terms; we are not party to that payment relationship.
8. Privacy and data
Our handling of personal data is described in our Privacy Policy. By using the Service you agree to the practices described there.
Businesses agree that they will only request and use information about Creators (and Shoppers, where relevant) that they have a lawful basis to handle. Creators agree that they will only request and use information about Businesses for legitimate partnership management.
9. Intellectual property
The Adverships name, logo, website, application code, dashboard layouts, and documentation are owned by Adverships and protected by applicable intellectual-property laws. Nothing in these Terms grants you any right to use Adverships’s trademarks except as needed to reasonably refer to the Service.
We may use the Business’s name and logo to identify them as a customer in our marketing materials. A Business may opt out of this by emailing us at the address in Section 16.
10. Termination
- You may close your Adverships account at any time. For Shopify-installed Businesses, uninstalling the app from your Shopify admin terminates your subscription.
- We may suspend or terminate your account immediately if you breach these Terms, our acceptable-use rules, or applicable law; if we are required to do so by law; or if continuing to provide service would create undue legal or operational risk.
- Upon termination, your right to use the Service ends, and we will retain or delete your data in accordance with our Privacy Policy and the Shopify GDPR webhooks where applicable.
- Provisions that by their nature should survive termination — such as fees owed, intellectual-property rights, disclaimers, and limitations of liability — will survive.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Adverships disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or trade usage.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses; that tracking attribution will be 100 percent accurate in all circumstances; that any specific revenue or earnings result will be achieved; or that creator content posted on third-party platforms will perform as expected.
12. Limitation of liability
To the maximum extent permitted by applicable law, Adverships and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or loss of goodwill, arising out of or relating to the Service.
Adverships’s aggregate liability for any direct damages arising out of or relating to the Service will not exceed the greater of (a) the total fees you paid to Adverships in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Adverships and its officers, employees, and agents from and against any claim, demand, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) content you post to or transmit through the Service; or (d) your misuse of the Service.
14. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there. Nothing in this section limits any right you may have to bring claims in small-claims court or to seek injunctive relief in any court of competent jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the “Last updated” date at the top of this page and, where appropriate, notify you by email or through an in-app notice. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
